What is changing?

Centuria is transitioning its registry administration services from Boardroom to Caruso. This change will provide investors and advisers with access to a modern digital platform designed to improve investor servicing, online transactions, reporting, administration and communication.

Why is Centuria making this change?

Following a review of registry service providers, Centuria selected Caruso due to its modern technology platform, enhanced automation capabilities, improved data management, scalability and investor experience.

Who is Caruso?

Caruso is a specialist fund administration and investor registry platform operating across Australia and New Zealand.

When will the transition occur?

Centuria’s unlisted Australian and New Zealand property funds and Centuria Bass Credit funds are anticipated to transition to Caruso on 24 August 2026.

Do I need to take any action now?

No immediate action is required until the week of the 24th August. Further communications will be provided to start your new investor portal account with Caruso.

Will my investment be affected?

No. The transition relates to administration and servicing only. Investment holdings and entitlements remain unchanged.

Will my investor number change?

Following the transition of the unit register to Caruso, you will be assigned a new Investing Entity ID. This number will be a shortened version of your current investment number and replace your previous number held with Boardroom.

Will I still have access to the old investor portal, www.CenturiaInvestor.com?

No, this platform will be switched off from 17 August for the funds which are transitioning to Caruso.

What new features will be available?

A modern online portal, digital transactions, historical statements, improved reporting and enhanced servicing capabilities.

Will I be able to view historical statements?

Yes. Historical statements and investor information will be migrated to the new platform.

How will I log in to the new platform?

Investors and advisers will receive account activation instructions and be invited to create a username and password.

Will advisers have their own portal?

Yes. Caruso provides a dedicated adviser experience.

Can advisers view all of their clients?

Advisers will be able to access client information they are authorised to view.

Will paper forms still be available?

Centuria will increasingly utilise digital channels, although some forms may remain available where required.

How will applications be submitted after the transition?

Applications will increasingly be completed through Caruso’s online onboarding and application process.

If I need to withdraw my investment, how can I do this?

Caruso offers online redemptions. Investors can withdraw online full or partial units in funds that allow withdrawals. Please review your disclosure document for details.

How will AML and identity verification work?

Caruso includes integrated AML/KYC capabilities and may request verification information when required.

Is my personal information secure?

Yes. Comprehensive migration, validation and information security controls are in place.

What happens if I need to update my details?

Investors will be able to view and request updates to details via the portal. We will also have the standard change forms available on our website which you can complete and email

Will distribution payments continue as normal?

Yes. Distribution payments and investor entitlements will continue as planned throughout the transition. As previously notified distributions for Australian unlisted funds will be paid on the 10th of each month. There will be no change to the New Zealand unlisted fund distribution dates.

What support will be available?

Centuria will provide communications, video demonstrations, FAQs and dedicated support during the transition.

Why change providers?

Centuria’s core priority is our investors and we have identified an opportunity to improve our advisor/investors’ experience with the new registry provider Caruso. Centuria has considerably grown throughout the past five years and Caruso’ automation and AI enablement can offer the scale to match Centuria’s expanding operations. In particular, the diversity of our investment products means Caruso can effectively automate the management of credit funds, investment bonds and a secondary investment sales market for our New Zealand business as well as our listed and unlisted real estate funds.

Will all funds change to Caruso?

The transition will occur via a phased approach. All unlisted Australian and New Zealand funds, including Bass Capital’s credit funds will transition by 24 August 2026. Listed Australian entities and Centuria Life investment bonds will transition late 2026, early 2027.

Why isn’t NZX-listed Asset Plus (NZX: APL) transitioning to Caruso?

Since inception, APL’s registry provider has been MUFG Corporate Markets (New Zealand). APL has not used BoardRoom and, for consistency, will continue to use MUFG.

Why Caruso?

Caruso is an AI-enabled registry platform with superior automation, data integrity, Customer Relationship Management (CRM) integration, and support for Centuria’s Australian and New Zealand funds management business and investment bond products.

Caruso will consolidate Centuria’s investor, adviser, registry, and CRM system into one, integrated system that provides consistency and enhanced investor experience. This integration will enable Centuria to further scale its operations and product offering, which supports the company’s growth trajectory.

Its automation and AI enablement is designed to minimise processing/manual errors and ensure consistency across an investor’s profile. Importantly, it can integrate well with other CRM platforms, such as Salesforce, which helps to maintain consistency across the business. Caruso also provides superior compliance capabilities, enabling Centuria to mitigate foreseeable risks regarding reporting, audits and document expiration monitoring.

How soon will the changeover occur?

A phased transition between May 2026 and February 2027 is designed to minimise operational disruption, protect data integrity, and maintain regulatory compliance, with strong governance, oversight, and change management throughout delivery.

From 24 August 2026, all unlisted funds provided by Centuria Australia, Centuria NZ and Centuria Bass Capital are anticipated to be live on Caruso’s platform.

From 7 December 2026, Centuria Capital Group (ASX: CNI), Centuria Industrial REIT (ASX: CIP) and Centuria Office REIT (ASX: COF) are anticipated to be live on Caruso’s platform From 1 February 2027, Centuria Life investment bonds are anticipated to be live on Caruso’s platform.

Will the change impact when and how distributions are paid for both listed and unlisted funds?

There will be no disruption to distributions paid to unlisted and listed funds. The timing of the transition for our unlisted funds – including credit funds – means no disruption to monthly/quarterly distributions. Investors and advisors will be reminded to update their payment/contact details, if they have changed, prior to the transition. Caruso will also be able to update payment/contact after the transition.

Listed funds will also continue to pay their quarterly distributions without disruption, broadly in line with previous years. For example, ex-distribution dates and record dates are typically at the end of March, June, September and December with Distribution Payment Dates approximately one month after. The timing of the listed funds transition to Caruso is strategically set to ensure there is no disruption to investor communication concerning CNI’s Annual General Meeting (AGM), which is usually held in late November.

Will the transition affect when investors/advisors receive Year End Australian tax statements?

There will be no disruption to issuing Year End Tax Statements for Australian unlisted funds. With the financial year ending 30 June, tax statements for unlisted funds are anticipated to be provided in August 2026.

Will Caruso provide an investor/adviser portal like Boardroom?

Yes. A video demonstration of the new portal will be uploaded to the intranet for all Centuria personnel to access. The demonstration will be provide by Caruso who will highlight key features for both the investor-access and the advisor-access. The video is scheduled to be uploaded in June.

Investors and advisors will be able to access historical statements as well as current statements.

What AI capabilities does Caruso provide?

Caruso uses AI to read, extract, validate and structure investor documents, significantly reducing manual data entry. It uses AI to automate and monitor compliance tasks across the registry with auto-triggers for Anti-Money Laundering (AML) and Know Your Client (KYC) workflows. It flags incomplete, expired or high risk records and identifies compliance gaps to prevent breaches.

Caruso’s AI tools also automate subscriptions, transfers and redemptions against fund rules, matches deposits to capital calls using bank data, processes compliant transactions automatically and reduces operational risk by minimising manual intervention.

You may receive communications from Centuria@getcaruso.com.au. This is a legitimate and safe email address used by Centuria and our registry provider, Caruso. We recommend that investors save this email address to their contacts to help identify future communications as genuine and safe to open. Doing so will assist in ensuring that important registry and investment-related updates are recognised and received without issue.

I’ve updated my bank account details online. Why do I need to provide additional documents?

To protect your account, we verify all bank account changes before they take effect. When you update your bank details online, we’ll ask you to provide one of the following:

– A certified copy of your photo ID (passport or driver’s licence), or

– A copy of your bank statement showing the account name and account details

This verification step confirms the change was requested by you and that the new account belongs to you.

What happens after I submit my documents?

Once we receive your documents, we’ll review and verify them against your updated bank details. When verification is complete, the new account will apply to your future payments. If we need anything further, we’ll contact you directly.

Can our practice use one shared login for all adviser staff?

No. For security and privacy reasons, each adviser and staff member must have their own individual web portal access. Shared or universal logins aren’t supported.

Why can’t adviser firms share one login?

Individual logins protect both your practice and your clients. They ensure account activity can be correctly attributed, keep personal information secure, and allow access to be managed per person – for example, if a staff member leaves the practice, their access can be removed without disrupting anyone else.

How do I set up portal access for adviser staff?

Each adviser and staff member will need to be registered individually. To arrange access, an Adviser Access Form must be completed for each person, including their full name, email address, and the adviser or practice they’re linked to.
